Shintaro Yukitoshi is the Founder and Managing Partner of Syntax Partners, where he spearheads the firm’s practice. He brings over a decade of experience in corporate finance and M&A advisory, formerly Director at leading independent advisory firms in Japan and APAC. Throughout his career, he has focused on mid-market cross-border transactions across diverse sectors, including industrials, chemicals & materials, IT/technology, and financial services. Shintaro holds a B.A. from Osaka University and was born and raised in Osaka, Japan.
Execution that makes a difference for middle-market cross-border M&A
When considering cross-border M&A across Japan and Asia, finding the right advisor is a common challenge for management teams. Bulge-bracket investment banks and global franchises concentrate on large, high-revenue mandates. Mid-sized independents are primarily geared toward domestic transactions. Smaller brokers operating under dual-agency model are structurally conflicted — unlike the independent advisory standards expected in international M&A. This structural reality has become a defining challenge in mid-market cross-border M&A, particularly for transactions below $100 million.
Middle-market deals carry real weight. For buyers, each decision can shape the company’s trajectory and define the careers of the executives and officers in charge. For selling owners and founders, it is often the defining chapter of a professional lifetime. Yet the advisory infrastructure capable of handling the nuanced, multilayered challenges of cross-border transactions in this segment has never fully caught up with the need.
What inspired me over a decade in corporate finance was watching independent M&A boutiques in global financial centers such as New York and London — firms with no underwriting book, no balance sheet, no lending relationships — stand shoulder to shoulder with the largest investment banks, and at times rival them, through the sheer quality of their advice and the discipline of their execution. In Asia’s mid-market, including Japan, that same standard has yet to fully materialize. The result is a market where the right deal goes undone, or gets done poorly, for want of the right advisor at the table.
It was with this in mind — and with the conviction that a long-term, internationally credible, genuinely independent M&A boutique could and should exist — that I founded Syntax Partners.
There’s far more to business than the numbers on a screen
As an entrepreneur myself, I understand the weight of the decisions business leaders and owners face — the intensity and the pressure that accompany pivotal turning points. My understanding is rooted in both firsthand experience as a founder and years of dedicated service as an advisor.
This is why we do not define our role by technical expertise alone. We go beyond textbook finance and strategy to provide pragmatic wisdom and hands-on execution grounded in the realities of management — encompassing the broader strategic context, the impact on people and organizations, and the complex human psychology inherent in every major decision.
Guided by this discipline, we adopt an issue-led approach. We begin by identifying the underlying management challenges, then rigorously evaluate strategic options — including mergers, acquisitions, capital partnerships, divestitures, strategic exits, and joint ventures — within the context of a broader strategic agenda. If we conclude that the path under consideration, its timing, or even our own involvement is not in the client’s best interest, we provide our counsel with complete candor. This reflects our core principle: to focus exclusively on engagements where we can truly make a difference.
From Japan through Asia to the world
From the outset, we have built a multilingual, multinational team and invested in developing a strong international network. Today, we maintain coverage across the Asia-Pacific and work closely with more than 50 partner firms across 15 countries and regions — extending into Europe and North America as well. Together with our locally rooted partners and our own professionals with deep on-the-ground expertise, we have established a platform that enables us to deliver practical, high-quality cross-border M&A advisory across a wide range of situations.
